[Digihubsadmin] Notes from Conference Call

Here are some high level notes from our call yesterday.  Please let me know if I have missed anything.
Missy

Kirtas:

*        Barry Kallendar has been called in to effectively "liquidate" Kirtas.

*        The Board of Kirtas voted to go into voluntary dissolution on May 8.

*        They will be filing with the Delaware Sec. of State for voluntary dissolution, which is similar to bankruptcy

*        As part of this process they will need to file a liquidation plan.

*        At that point vendors/organizations can file a claim for reimbursement.

o   CPL asked the question but Barry has said that the money is gone; so CPL would not get their downpayment back.

*        For CPL because they haven't agreed to take delivery yet, they are being asked to sign an Assignment Document between IIRI, Kirtas and CPL.  CPL plans to add I2S to the signatories to say they will guarantee obligations.

o   PLCHC has not agreed to delivery yet either and has been asked to sign a similar document.

o   TLCPL has agreed to take delivery.

General Discussion:

*        Discussion that this happens all the time - just have to balance where there is a high enough concern it won't work

*        Also the size of the contract is of concern

Long term issues

*        Long term issue is support and parts

*        TLCPL does not plan to release their final payment until there is a plan in place for long-term maintenance

*        Question for Barry is if I2S will sign a listing of all items to be picked up by the company, including maintenance.

*        TLCPL has put $4000 in their budget for training; Tech Certification is a deliverable still owed to TLCPL

o   The libraries felt that group training might be the best option

o   Training/certification could be put in the Assignment Document

*        Per bankruptcy law, maintenance and service has to be available for 7 year.; there is a greater concern about availability of parts.

Takeaways:

*        The libraries should consider legal advice before signing the Assignment Document and any other papers

*        CPL may wish to consider putting their monies into an escrow account

*        Stephen will set up an Administrative Listserv

*        Joyce will reach out to Barry to set up a conference call, then Stephen will send out doodle poll.

o   All of the libraries have talked to him individually, but need time to talk with him collectively.

o   Need to know timeline/deadlines for negotiations with Kirtas and timing for handing off of Kirtas obligations

o   Need more information on the servicing of Kirtas equipment and parts availability
